User Disclaimer

1. INTRODUCTION

By accessing or using any Oracle (as defined below), you agree to this disclaimer in its current version (the "Disclaimer"). If you do not agree, you must not access or use any Oracle. In this Disclaimer, "you" (or "User") refers to the company, legal entity, DAO or other organization on whose behalf you access or use any Oracle. If you access or use any Oracle on behalf of such an organization, you represent and warrant that you are authorized to bind that organization to this Disclaimer. This Disclaimer applies to the access to or the usage of data from any Chronicle Oracle, whether such access has been requested through Chronicle's onboarding form or has been obtained otherwise.

In this Disclaimer, "Oracle" means any on-chain smart contract data feed deployed on the Chronicle Protocol, including any related data output, parameter or value.

2. SCOPE; RELATIONSHIP TO TERMS OF USE

This Disclaimer is supplemental to Chronicle's Terms of Use (the "Terms of Use"), which are hereby incorporated into this Disclaimer by reference. Capitalized terms used and not defined in this Disclaimer have the meaning given to them in the Terms of Use. In the event of any inconsistency between this Disclaimer and the Terms of Use with respect to your access to or use of the Oracles, this Disclaimer prevails. Without limitation, Sections 6 (Eligibility; Restrictions), 7 (Prohibited Use), 8 (Intellectual Property), 9 (Important Disclaimers), 10 (Limitation of Liability; Release; Indemnification) and 11 (Changes; Suspension; Restriction; Termination) of the Terms of Use (or any equivalent provisions in any subsequent version of the Terms of Use) additionally apply to your access to and use of the Oracles, and any reference therein to the Services includes the Oracles.

If you have entered into a separate agreement with Chronicle governing your access to or use of any Oracle or other Service, that agreement prevails with respect to the matters it covers, unless explicitly agreed otherwise between the parties.

3. YOUR REPRESENTATIONS AND WARRANTIES

By accessing or using any Oracle, you represent and warrant to Chronicle, on a continuous basis, that:

• you are a business entity and not a consumer, and you access and use the Oracles solely for business purposes;
• you have full right, power and capacity to enter into and comply with this Disclaimer, and (if applicable) the natural person accepting this Disclaimer is duly authorized to bind the organization on whose behalf they act;
• you are not, and you are not acting on behalf of, a Restricted Person (as defined in Section 6 of the Terms of Use), and your access to and use of any Oracle does not violate any sanctions or other applicable law to which you are subject;
• all information provided by you to Chronicle in connection with your access to or use of any Oracle, including in any onboarding form, is complete, accurate and not misleading; and
• you will promptly notify Chronicle in writing if any of the foregoing representations ceases to be accurate.

4. ACCESS TO AND USE OF THE ORACLES

You acknowledge and agree that:

• Chronicle is a data and technical infrastructure provider. The Oracles constitute technological data and infrastructure services only. The outputs of the Oracles are published for informational purposes only;
• the Chronicle Protocol operates through a decentralized architecture in which data is validated and published by a set of independent validator nodes operated by third parties. Chronicle does not control or direct the actions of individual validators, and no single validator or group of validators is under the direction or authority of Chronicle. The decentralized nature of the Protocol means that Chronicle cannot guarantee the behavior, availability or output of any individual validator or the Protocol as a whole;
• nothing in this Disclaimer, the Terms of Use or any Oracle output constitutes financial, legal, tax or investment advice, or an offer, solicitation, recommendation or endorsement of any asset or financial instrument;
• the Oracles depend on the availability, performance and actions of third parties, such as data providers, custodians, issuers, administrators, node operators, public blockchains and other external systems, over which Chronicle has no control, responsibility or liability;
• the Oracles may experience delays, errors, inaccuracies, inconsistencies, outages, changes or access restrictions, and may be modified, suspended, restricted, deprecated or sunset at any time, subject to any notice mechanisms that may apply under any separate procedure published by Chronicle from time to time (including any procedure governing the sunset of Oracles);
• you are solely responsible for the design, implementation, testing, maintenance and operation of any integration of any Oracle, including the implementation of appropriate freshness checks, heartbeat monitoring, circuit breakers, fallback logic and other safeguards necessary to handle any Oracle output, the absence of any Oracle output, and any post-sunset state;
• Chronicle may operate an allowlist of addresses permitted to read on-chain data from any Oracle and may, at any time and in its sole discretion, with or without notice, add or remove any address from any allowlist, including for reasons of applicable law or regulation, technical integrity or security, the reliable provision of services, or otherwise; and
• the provision of any Oracle is not intended, and shall not be construed, to create any direct contractual, fiduciary, advisory, agency or other relationship between you and Chronicle beyond the limited rights and obligations expressly set out in this Disclaimer and, to the extent applicable, the Terms of Use.

5. DISCLAIMERS; LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ORACLES ARE PROVIDED "AS IS" AND "AS AVAILABLE". CHRONICLE AND THE PROTECTED PARTIES (AS DEFINED IN THE TERMS OF USE) DISCLAIM ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTY OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY OR ERROR-FREE OPERATION. EVEN IF ANY COMPONENT OF THE ORACLES OR THE UNDERLYING PROTOCOL HAVE BEEN TESTED, REVIEWED AND AUDITED, BUGS, DEFECTS, VULNERABILITIES, ERRORS OR UNEXPECTED BEHAVIOUR MAY STILL EXIST AND MAY AT ANY TIME NEGATIVELY AFFECT ANY USER OF THE ORACLES. THE DISCLAIMERS SET OUT IN SECTION 9 OF THE TERMS OF USE APPLY IN FULL TO THE ORACLES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LIMITATIONS OF LIABILITY, RELEASES AND INDEMNIFICATION OBLIGATIONS SET OUT IN SECTION 10 OF THE TERMS OF USE APPLY IN FULL TO YOUR ACCESS TO AND USE OF THE ORACLES, AND NEITHER CHRONICLE NOR ANY PROTECTED PARTY WILL BE LIABLE FOR ANY LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, ANY ORACLE, ANY DELAY, INACCURACY, INCOMPLETENESS, OMISSION, CORRECTION OR CHANGE IN ANY ORACLE OUTPUT, ANY SUSPENSION, RESTRICTION, DEPRECATION OR SUNSET OF ANY ORACLE, OR ANY DECISION YOU MAKE OR ACTION YOU TAKE BASED ON ANY ORACLE.

6. CHANGES TO THIS DISCLAIMER

Chronicle may update this Disclaimer from time to time in its sole discretion. If we do, we will post the updated Disclaimer at this URL, unless we choose to provide additional notice. Unless stated otherwise, the updated Disclaimer becomes effective when posted. By continuing to access or use any Oracle after the updated Disclaimer becomes effective, you agree to the updated Disclaimer. You are responsible for reviewing this Disclaimer and any updates to it.
